What's more useful is understanding the actual checklist: the three retention numbers, customer concentration, cash flow shape, and margin profile. None of it needs to be perfect. It just tells you who your buyer is and what they'll pay.

Go-to-market looks a lot different in the era of AI. What was once a predictable playbook, has become a dynamic landscape. Starting first with the broad strokes. With the barrier to entry on creating new products at zero and increasingly available to those that are non-technical, for the first time ever, it has become harder to get products noticed. There’s more competition, and the aggregate number of products released into the market will only increase from here, likely exponentially. This puts more pressure on distribution.

In February, the public software market erased $285 billion in value in 48 hours. That slide has largely continued over the course of the year, with fears of AI displacement overtaking fundamental analysis. The median public SaaS company now trades at 3.2 to 3.4x revenue, most with double digit revenue growth, down from 6.2x two years ago — a decade low. Over that same window, private SaaS valuations barely moved.
